These Terms govern access to and use of LensX’s website, platform, applications, and services.

1. Agreement

These Terms of Service (“Terms”) govern access to and use of LensX’s website, platform, applications, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

2. Eligibility

You must have the authority to enter into these Terms on behalf of yourself or your organization. If you are using LensX on behalf of a school, university, athletic department, team, league, or organization, you represent that you have the authority to bind that entity.

3. Services

LensX provides software and AI-powered tools designed to help users:

  • Search media archives
  • Organize content
  • Generate highlights
  • Create recruiting reels
  • Manage athlete profiles
  • Produce media assets
  • Analyze sports footage

Services may be modified, updated, or discontinued at any time.

4. Customer Content

Users retain ownership of all content uploaded to LensX.

By uploading content, you grant LensX a limited, non-exclusive license to host, process, analyze, store, and display such content solely for the purpose of providing the Services.

5. Intellectual Property

LensX and its related software, branding, trademarks, designs, and technology remain the exclusive property of LensX Technologies Inc. These Terms do not transfer ownership of LensX intellectual property.

6. Fees and Payments

Certain Services may require payment.

Unless otherwise agreed in writing:

  • Fees are non-refundable
  • Pricing may vary by plan
  • Payment obligations remain due regardless of usage

Enterprise agreements may contain separate payment terms.

7. Service Availability

LensX strives to maintain reliable service but does not guarantee uninterrupted availability. We may perform maintenance, upgrades, or emergency changes without notice.

8. Disclaimer

The Services are provided “as is” and “as available.”

LensX makes no guarantees regarding:

  • Accuracy of AI-generated outputs
  • Availability of Services
  • Business outcomes
  • Recruiting outcomes
  • Athletic performance outcomes

Users remain responsible for reviewing generated content.

9. Limitation of Liability

To the maximum extent permitted by law, LensX shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Lost profits
  • Lost revenue
  • Data loss
  • Business interruption

Our total liability shall not exceed the amount paid to LensX during the twelve months preceding the claim.

10. Termination

Users may stop using the Services at any time. LensX may suspend or terminate access for violations of these Terms or misuse of the Services.

11. Governing Law

These Terms shall be governed by the laws of Saskatchewan, Canada, without regard to conflict-of-law principles.
